Terms of Service

1. The Service

VIJOSAK provides cloud-based business tools including:

• AI Workspace — an AI agent platform with persistent file storage
• AI Assistant — an AI chat service integrated into your workspace
• Deals Marketplace — a group-buy marketplace with escrow and KYC

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

2. Accounts & Workspaces

• You must be at least 18 years old and legally capable of entering contracts under Nigerian law
• You are responsible for all activity under your account and workspace
• One workspace per business entity. Multi-tenant sharing within your team is permitted
• You must provide accurate information when registering
• You must not share your credentials with third parties outside your organisation

3. Payments & Credits

AI Services (Workspace & Assistant)

• AI services are billed per token (unit of text processed). Credit balance is displayed in your workspace dashboard
• Credits are non-refundable once consumed. Unused credits expire 12 months from purchase
• All prices are in Nigerian Naira (NGN) inclusive of 7.5% VAT (FIRS)

Deals Marketplace

• Buyers pay a 10% escrow deposit to indicate interest in a deal
• Escrow deposits are refunded if a deal does not reach its minimum buyer threshold by the deadline
• The remaining 90% is collected only after the deal threshold is met and verified
• VIJOSAK charges a platform fee disclosed at the time of deal creation

All payments are processed by Paystack. By making a payment you also agree to Paystack's Terms of Use.

4. Deals Marketplace Rules

• Sellers must complete KYC (BVN verification and ID upload) before listing a deal
• All listed inventory must be real, owned by the seller, and available for delivery within the stated timeline
• Sellers must upload verifiable inventory proof before a deal is activated
• Misrepresentation of goods, quantity, or pricing is grounds for immediate account termination and legal referral
• Disputes are handled through VIJOSAK's dispute resolution process. VIJOSAK's decision on disputes is final and binding
• VIJOSAK does not guarantee delivery — we provide the platform and escrow mechanism. Participants transact at their own risk after escrow release

5. Acceptable Use

You must not use VIJOSAK to:

• Generate, store, or distribute illegal content
• Attempt to circumvent security controls, access other users' data, or reverse-engineer the platform
• Use AI services to generate spam, disinformation, or content that violates Nigerian law
• Conduct money laundering, fraud, or any activity prohibited under the Money Laundering (Prevention and Prohibition) Act 2022
• Impersonate another person or business

Violation of these rules may result in immediate account suspension without refund.

6. AI-Generated Content

AI responses are generated by third-party language model providers (DeepSeek, Anthropic, OpenAI). VIJOSAK does not guarantee the accuracy, completeness, or legality of AI outputs. You are solely responsible for reviewing and verifying any AI-generated content before acting on it.

7. Intellectual Property

You retain ownership of content you create and upload. By using the platform, you grant VIJOSAK a limited licence to store and process your content solely to deliver the service. VIJOSAK's platform code, design, and trademarks remain the property of VIJOSAK Technology Limited.

8. Limitation of Liability

To the fullest extent permitted by Nigerian law, VIJOSAK's total liability to you for any claim arising from use of the platform shall not exceed the total amount you paid to VIJOSAK in the 3 months prior to the claim. VIJOSAK is not liable for indirect, consequential, or incidental losses.

9. Governing Law & Disputes

These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall first be referred to mediation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of Nigerian courts in Ondo State.

10. Changes to Terms

We will notify registered users by email at least 14 days before any material change. Continued use of the service after the effective date constitutes acceptance of the updated terms.
